What You’ll Do
- Work as an integral part of EPAM's US Commercial Legal Team supporting and coaching key members of our largest Global Business Units
- Draft, review and negotiate a wide variety of contracts, including:
- IT Master Services Agreements
- Consulting Agreements
- Statements of Work
- Subcontractor and Alliance Agreements
- Other in-bound (procurement) Commercial Agreements
- Interpret contractual and legal issues, and answer questions arising out of our Commercial deal pursuits and delivery activities
- Lead and assist with special projects as assigned, such as developing templates and standard positions, and supporting geographic expansions or new types of services offerings
- Work with Legal, Finance and Operations colleagues to improve contract management
- Participate in the development and management of global compliance initiatives, working with cross-functional partners and providing proactive guidance on laws, regulations, industry standards and other compliance obligations
- Implement and conduct training on legal issues, policies, programs, and contractual approaches to assure conformity and consistency across our Americas Business Units
- Assist and advise on disputes
- Prepare management reporting to summarize status of contract negotiations and provide information to aid in management decision-making
- Coordinate with internal and external subject matter experts, including external counsel
What You Have
- JD from a top law school with excellent academic credentials
- 5+ years’ relevant experience negotiating and drafting IT Services, Outsourcing and other Intellectual Property Agreements, either in an in-house legal department or a law firm’s technology practice group
- Excellent analytical, negotiation, and drafting skills demonstrated through your work experience
- Strong written and oral communication skills, especially when explaining contractual and legal issues, and when interacting with customers and senior management
- Practical knowledge of commercial contracting law and related issues such as intellectual property and licensing
- Familiarity with, or willingness to learn, technical concepts
- Sound and practical business judgment
- Ability to organize, prioritize and manage numerous projects under deadlines in a fast-paced and demanding work environment
- Expertise building and maintaining strong working relationships with internal clients
- Ability to provide quick and efficient services with a strong work ethic
- Responsive and friendly, service-oriented “can-do” attitude
- Flexible team player, willing to work on a variety of matters
- Ability to speak and negotiate in a second language, particularly Spanish or Portuguese, is a plus
